Terms and Conditions

1. Acceptance of Terms

By creating an account or using Elite Home Flow (the "Service"), you agree to these Terms and Conditions and our Privacy Policy. If you do not agree, you may not use the Service. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these terms.

2. Description of Service

Elite Home Flow is a SaaS platform that allows real estate professionals to create, publish and manage premium landing pages for properties, communities and agent profiles, in English and Spanish. The Service includes visual editing tools, lead capture, custom domains and analytics, subject to the plan you contract.

3. User Accounts

You must be at least 18 years old and a licensed realtor in the State of Florida (or represent one) to use the Service in production. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. One account per person; sharing accounts or creating multiple accounts to bypass plan limits is prohibited.

4. Plans and Subscriptions

We offer Free, Pro and Business plans with different usage limits. Paid plans are billed monthly in advance via Stripe. Subscriptions automatically renew at the end of each cycle until you cancel. We may adjust pricing with at least 30 days' advance notice; changes apply to the next cycle.

5. Cancellation and Refunds

You may cancel your subscription at any time from the Billing section of your account. You retain access to the paid plan through the end of the already-billed period and then automatically move to the Free plan. We do not offer partial refunds for already-charged periods. Downgrades take effect at the end of the current cycle.

6. User Content

You retain all rights to the content you upload to the Service (photos, text, property data, etc.). You grant us a limited, non-exclusive, royalty-free license to host, display and process that content solely to operate the Service. You are responsible for ensuring you have the necessary rights to such content and for complying with applicable MLS rules and real estate regulations.

7. Acceptable Use

You may not use the Service to: (a) post illegal, deceptive, defamatory content or content that infringes third-party rights; (b) impersonate any person or entity; (c) perform automated scraping of the Service or its users; (d) attempt to access accounts, data or systems that are not yours; (e) abuse the infrastructure (load attacks, spam, malware); (f) use the Service for any purpose that violates local, state or federal law.

8. Intellectual Property

The Service, including the software, templates, the "Elite Home Flow" brand, logos, designs and other materials we provide, is owned by us or our licensors and protected by intellectual property laws. You may not copy, modify, redistribute, decompile or create derivative works except as expressly permitted. Templates are licensed for use within the Service.

9. Privacy

Our handling of personal data is governed by the Privacy Policy available at /privacy, which is an integral part of these Terms. By accepting these Terms, you also accept that Policy.

10. Limitation of Liability

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability or non-infringement. We do not guarantee uninterrupted uptime, business outcomes, or absolute accuracy of content. To the maximum extent permitted by applicable law, our total cumulative liability for any claim shall not exceed the amount you have paid to the Service in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Elite Home Flow, its directors, employees and agents, from any claim, damage, loss or expense (including reasonable legal fees) arising out of your content, your use of the Service, or your breach of these Terms.

12. Modifications to the Terms

We may modify these Terms at any time. When there are material changes, we will notify you within the Service and require you to accept the new version through an acceptance dialog before continuing to use it. Continued use after the modification implies acceptance.

13. Termination

We may suspend or terminate your access to the Service if you violate these Terms or if your conduct creates legal or reputational liability for us. You may close your account at any time. Termination does not relieve you of charges already accrued. After termination, we retain your information for up to 90 days, as described in the Privacy Policy.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of laws principles. Any dispute will be subject to the exclusive jurisdiction of the state or federal courts located in Miami-Dade County, Florida, and you waive any objection based on lack of jurisdiction or inconvenient forum.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Elite Home Flow regarding the Service and supersede any prior or contemporaneous agreements, communications or proposals, whether oral or written.

17. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of our right to enforce it later.

18. Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, internet or telecommunications outages, or failures of third-party service providers.
